Legal person constituted in another jurisdiction
This service is used to constitute new business corporations.
If the corporation is a legal person under another jurisdiction and you wish only to register it in Québec, you must use the Produire la déclaration d'immatriculation d'une personne morale service.
Make sure you use the online service corresponding to your situation. If you have any doubts, consult a legal adviser.
Correcting articles of constitution
The online service used to correct articles of constitution is not available. To correct articles of constitution, you must use form RE-300, Statuts de constitution (see English courtesy translation RE-300-T). The corrected articles must be enclosed either with form RE-510, Demande de correction de statuts présentée par le conseil d'administration (see English courtesy translation RE-510-T) or with form RE-511, Demande de correction de statuts présentée par le représentant d'une société (see English courtesy translation RE-511-T), depending on your situation.
PDF versions of the forms to correct articles are available under Forms Used to Correct Articles.
Cancelling articles of constitution
Once a business corporation is constituted, only a court may cancel the articles of constitution.
