Application to Resume the Existence of a Legal Person

The application to resume existence allows a dissolved legal person constituted under a Québec law to resume its activities.

You can file your application using form RE-702, Demande de reprise d’existence (see English courtesy translation RE-702-T). Your application must contain the information given when the enterprise was constituted and be accompanied by the required annual reports and the sworn declaration.

Form RE-900, Rapport annuel, is only available from Services Québec. Contact information is provided on the Contact Us page.

A director or an interested third party may apply to resume the existence of a company or a non-profit legal person constituted in Québec that was dissolved:

  • prior to January 1, 1994, for failure to file its annual reports;
  • after January 1, 1994, for failure to register with the enterprise register.

Fees and terms of payment

The fees applicable to the application to resume existence are given in form RE-101, Tarifs et modalités de paiement (see English courtesy translation RE-101-T).

Processing your application

The Registraire des entreprises will deposit in the enterprise register an order confirming the resumption of the existence of the legal person. As of the date of the deposit, the legal person will be deemed to never have been dissolved. Moreover, the deposit of the order in the enterprise register will register the company or the non-profit legal person.
