|
Address of the person mandated to receive the enterprise’s documents for purposes of the Act respecting the legal publicity of enterprises. It is the address where documents are to be sent.

|
Only head offices of public authorities (NEQs starting with 88) are displayed.

Immatriculation
Registration consists of assigning a Québec enterprise number (NEQ) to an enterprise in order to identify it. This section is displayed for all types of enterprises.

Date d’immatriculation (date of registration)
|
The date on which the Québec enterprise number (NEQ) was assigned to an enterprise. The date will never be changed.
|
Statut (status)
|
The status of the enterprise’s registration in the enterprise register. The status can, for example, be “immatriculée” (registered), “radiée d'office” (cancelled ex officio) or “radiée sur demande” (cancelled on request). In the latter two cases, the date of cancellation and the circumstances surrounding the cancellation are indicated.

Date de mise à jour du statut (date on which the status was updated)
|
Date of the last update of the status of the enterprise’s registration in the enterprise register.
|
Date de fin de l’existence (date of cessation)
|
The anticipated date of cessation of the enterprise’s activities.
If no date of cessation is declared, the message “Aucune date de fin d’existence n’est déclarée au registre" (No date of cessation has been declared.) is displayed.

Forme juridique
This section is displayed for all types of enterprises.
|
Forme juridique (legal form)
|
Distinctive nature of an enterprise. Legal forms of enterprises include business corporation, company, partnership, natural person, non-profit legal person, trust operating a commercial enterprise, syndicate of co-ownership and cooperative.

Date de constitution (date of constitution)
|
Date on which the enterprise was created.
|
Régime constitutif (constituting system)
|
The statute under which an enterprise was constituted (created). This information will never be changed.
|
Régime courant (current system)
|
The statute under which a legal person is now doing business. This information can be changed if the enterprise seeks to continue under another law.
This information is displayed only for legal persons (NEQs starting with 11).

Assujetti volontaire (voluntary registrant)
|
This information is displayed only for public authorities (NEQs starting with 88).
|
Dates des mises à jour
|
Date de mise à jour de l’état de renseignements (date on which the information statement was updated)
|
The date on which the information in the information statement was updated by the Registraire des entreprises.

Date de la dernière déclaration de mise à jour annuelle (date of the last annual updating declaration)
|
The date on which the last annual updating declaration was filed.
If no annual updating declaration has been filed since registration in the enterprise register, the following message is displayed: “Aucune déclaration de mise à jour annuelle n’a été produite à ce jour" (No annual updating declaration has been filed to date.)

The date by which the annual updating declaration for the year concerned must be filed.

Faillite
This section is displayed in the case of legal persons and natural persons operating sole proprietorships (NEQs starting with 11 and 22).

This message is displayed when the enterprise is bankrupt.
|
L’entreprise n’est pas en faillite. (The enterprise is not bankrupt.)

This message is displayed when the enterprise has notified the Registraire des enterprises that it is not bankrupt.

Aucune information n’a été déclarée au sujet de la faillite. (No information has been declared on the subject of bankruptcy.)

This message is displayed when the enterprise has not declared information on bankruptcy since February 14, 2011.

Recours
This section is displayed only if a request for recourse related to the enterprise's file has been filed with the Registraire. In this case, the following message will be displayed: “L’entreprise fait l’objet d’un recours." (The enterprise is the subject of a recourse.)

This section is displayed for legal persons (NEQs starting with 11).

The three shareholders who hold the most votes are indicated.

One of the following three messages is displayed:
“Il existe une convention unanime des actionnaires." (There is a unanimous shareholder agreement.)
"Il n’existe pas de convention unanime des actionnaires." (There is no unanimous shareholder agreement.)
“Il n’existe plus de convention unanime des actionnaires." (There is no longer a unanimous shareholder agreement.)

Actionnaires ou tiers assumant les pouvoirs du conseil d’administration (shareholders or third parties assuming the powers of the board of directors)

When all the powers have been removed from the board of directors by a unanimous shareholder agreement, the enterprise must declare the list of shareholders or third parties assuming these powers.

Administrateurs du bien d’autrui (administrators of the property of others)
|
Persons who are mandated to administer the property or patrimony of the enterprise. Administrators of the property of others represent an enterprise and have the same rights and obligations as the enterprise. They generally do not work within the enterprise and are neither among the enterprise’s directors or officers.
The administrator of the property of others can be a legal person or a natural person.
In addition, the history of the enterprise’s former administrators of the property of others is displayed in this section.

Associés (partners)
|
This section is displayed for partnerships constituted in the following legal forms: SEC, SENC, SENCRL, SEP and SOC.
Persons who undertake to contribute to the operation of the partnership by pooling property, knowledge or activities. In return, partners share the resulting benefits.

Fondé de pouvoir (attorney)
|
The person who represents an enterprise with neither a domicile nor an establishment in Québec or an enterprise exempted from declaring certain information by regulation of the Minister. Any procedure brought against the enterprise under a law may, even after the cancellation of the enterprise’s registration, be served upon the attorney.
The attorney may be a legal person or a natural person.

Note
Enterprises must declare the names and the personal addresses of their shareholders, directors, partners and officers who are not members of their board of directors.
