Revoke an Ex Officio Cancellation

If an enterprise’s registration was cancelled ex officio because the enterprise failed to file two consecutive annual updating declarations or a declaration or notice requested by the Registraire des entreprises, the enterprise can revoke the cancellation of its registration.

The enterprise can do so by filing one of the following:

  • an application for revocation of cancellation;
  • an application for reregistration;
  • an application by a third party for revocation of cancellation.

Application for revocation of cancellation

If the enterprise was required to be registered or was in business at the time its registration was cancelled, it must use its clicSÉQUR express or clicSÉQUR – Entreprises access code to access My Office and file:

  • an application for revocation of cancellation;
  • the annual updating declaration for each year it did not file one;
  • the initial declaration of a legal person if the declaration has not been filed (in the case of a Québec legal person);
  • any declaration or notice requested by the Registraire des entreprises.

The applicable fees and penalties must be included with the application for revocation of cancellation.

When an ex officio cancellation is revoked, the Registraire des entreprises deposits an order for revocation in the enterprise register. A copy of the order is sent to the enterprise. As of that moment, the enterprise’s registration is deemed to never have been cancelled and the legal person constituted in Québec to never have been dissolved, subject to the acquired rights of third parties.

Application for reregistration

The following types of enterprise can file an application for reregistration:

  • natural persons operating a sole proprietorship;
  • partnerships constituted outside Québec;
  • joint ventures;
  • legal persons constituted outside Québec;
  • associations and groups of persons.

If the enterprise was no longer required to be registered or was not in business after its cancellation, it can file an application for reregistration that provides its Québec enterprise number (NEQ).

The enterprise will be required to file annual updating declarations only after its reregistration.

Note
Natural persons who were previously registered under a name that included their first and last names, or under another name, must reregister. They will be reassigned their previous NEQ.

Application by a third party for revocation of cancellation

An interested party, such as a creditor of a dissolved corporation, can file an application for revocation of cancellation by completing, printing and signing form RE-701, Demande de révocation de radiation présentée par un tiers (see English courtesy translation RE-701-T) and mailing it to the Registraire des entreprises.

When an ex officio cancellation is revoked, the Registraire des entreprises deposits a notice of revocation in the enterprise register. A copy of the notice is sent to the enterprise and the applicant. As of that moment, the enterprise’s registration is deemed to never have been cancelled and the legal person constituted in Québec to never have been dissolved, subject to the acquired rights of third parties.

Note
An application for revocation of cancellation does not have to be accompanied by the missing declarations. The applicant is, however, required to inform the Registraire des entreprises every year in writing that the enterprise covered by the revocation is not to be cancelled again. In addition, if legal proceedings are instituted against the enterprise, the applicant must notify the Registraire des entreprises when the proceedings have ended. Failure on the part of the applicant to meet these obligations could result in the enterprise being cancelled ex officio without prior notice.

Fees and terms of payment

The fees applicable to applications for revocation of cancellation and for reregistration are given in chart RE-101, Tarifs et modalités de paiement (see English courtesy translation RE-101-T).

Client services

Client services of the Registraire des entreprises are provided by Services Québec at its offices in Montréal or Québec, as well as by email or telephone. Contact information is provided on the Contact Us page.

Client services staff can help you understand, in particular, the process for reregistering and revoking the cancellation of registration, as well as the application of the rules of law in general. However, they cannot interpret the rules to adapt them to a specific case or respond to a specific situation. For such help, consult a legal adviser.
