Apply to resume the existence of a legal person

The application to resume the existence of a legal person allows a legal person incorporated pursuant to a Québec statute that was dissolved to resume its activities.

You may file your application by means of the Produire la déclaration initiale d’une personne morale service online service by providing the information declared when the enterprise was incorporated.

A director or an interested third party may apply to resume the existence of a company or a non-profit legal person incorporated in Québec that was dissolved:

• prior to January 1, 1994 for failure to file its annual reports;
• after January 1, 1994 for failure to register with the enterprise register.

Important

The applicant must submit the requisite annual reports and the sworn statement. The Produire un rapport annuel form is available solely from Services Québec.

The enterprise registrar will file in the enterprise register an order confirming the resumption of the existence of the legal person. As of the date of such filing, the legal person will be deemed to never have been dissolved. Moreover, the filing of the order in the enterprise register will register the company or the non-profit legal person.
