Application to Resume the Existence of a Legal Person
A director or interested third party may apply to resume the existence of a Québec-incorporated company or non-profit legal person that was dissolved:
- Before January 1, 1994, for failure to produce annual reports;
- After January 1, 1994, for failure to register.
Procedure
To find out which report forms are required, to obtain the forms and to know the fees involved, contact Customer Service.
Forms to fill out
- Application to Resume Existence;
- Initial Declaration;
- The required annual reports;
- A sworn statement.
Submitting and processing your application
Forms must be printed or typewritten, legible and suitable for microfilming or photocopying.
The enterprise registrar will file an order in the register confirming the resumption of existence. As of the date of its deposit in the register, the legal person will be deemed to have never been dissolved. Moreover, deposit of the order effectively registers the company or non-profit corporation.
