Cancellation on Request

Any enterprise that is no longer obliged to register or that had voluntarily registered must file a declaration of cancellation. This applies to:

  • a natural person operating a sole proprietorship;
  • a joint venture;
  • a corporation not constituted in Québec;
  • an association or other group of persons;
  • a trust operating a commercial enterprise;
  • a legal person established for a private interest that is not constituted in Québec;
  • a legal person established in the public interest (public authority).
Note
A syndicate of co-ownership must declare its dissolution by filing form RE-803, Avis de dissolution, avis de nomination du liquidateur et avis de clôture (see English courtesy translation RE-803-T).

No fees apply to the filing of a declaration of cancellation. However, fees apply when priority processing is requested. For more information, please consult chart RE-101, Tarifs et modalités de paiement (see English courtesy translation RE-101-T).

It should be noted that the enterprise is obliged to pay the annual registration fee for each year during which it is registered as at January 1, including the year during which it submits a declaration of cancellation. 

A legal person not constituted in Québec that is no longer required to register with the enterprise register must file a declaration of cancellation with the Registraire des entreprises.

Special cases

  • In the event of the death of the natural person operating a sole proprietorship, the liquidator of the succession (the spouse, a family member, etc.) must submit the declaration of cancellation to the Registraire des entreprises within six months of the owner’s death.
  • A natural person must submit a declaration of cancellation to the Registraire des entreprises where that person ceases to operate an enterprise, sells it or wishes to continue doing business under another legal form such as a corporation or a company.
  • In the event a legal person constituted in Québec is bankrupt within the meaning of the Bankruptcy and Insolvency Act, the trustee in bankruptcy must file a declaration of cancellation once it has obtained a discharge from the court on completion of the administration of the legal person’s estate.

To apply for the cancellation of an enterprise's registration, you can use the Produire une déclaration de radiation online service, which is available under Gestion de l'entreprise in My Office.

The Registraire des entreprises will deposit the declaration of cancellation in the enterprise register, which will cancel the registration. 

Important
Before you file this application, which will result in the closure of your enterprise by cancellation, make sure that you have submitted all required documents and that you have received all amounts to which your enterprise is entitled from all government departments and agencies, and all financial institutions.
