Striking Off on Request

Any enterprise that is no longer obliged to register must submit a declaration of striking off. More specifically, the declaration must be filed by: 

• a natural person operating a sole proprietorship;
• a joint venture;
• a business corporation not constituted in Québec;
• an association or other group;
• a legal person established for a private interest that is not constituted in Québec;
• a legal person established in the public interest (public authority);
• a condominium association.

  No fees apply to the filing of a declaration of striking off. However, fees apply when priority processing is requested. To obtain additional information, please consult the fee schedule.

It should be noted that the enterprise is obliged to pay the annual registration fees for each year during which it is registered as at January 1, including the year during which it submits a declaration of striking off.

Other cases

• In the event of the death of the natural person operating a sole proprietorship, the liquidator of the estate (the spouse, a family member, and so on) must submit the declaration of striking off to the enterprise registrar within six months of the owner’s death.
• The declaration must be submitted when a natural person ceases to operate an enterprise, sells it or wishes to continue doing business under another legal form such as a business corporation or a company.
• In the event of bankruptcy, the trustee must submit a declaration of striking off to the enterprise registrar if the trustee does not continue to operate the enterprise of the bankrupt.
• The declaration must be submitted when a condominium association or a legal person that is not constituted in Québec is no longer obliged to be registered in the enterprise register.
• Any joint venture, association or other group or legal person established in the public interest (public authority) that has registered voluntarily may at any time request the striking off of its registration.

The enterprise registrar will file the declaration of striking off in the enterprise register, which will have the effect of striking off the registration.
