Ex Officio Striking Off by the enterprise registrar
Notice of default
In accordance with the Act respecting the legal publicity of enterprises, the enterprise registrar sends a notice of default to any enterprise that has failed to file an annual updating declaration before striking off ex officio the enterprise’s registration.
Any enterprise that fails to fulfil its obligation to file a missing annual updating declaration and fails to file its annual updating declaration for the following year is liable to have its registration struck off ex officio.
The notice of default is the only notice that the enterprise receives before the enterprise registrar strikes off ex officio its registration. The notice is filed in the enterprise register and the reference appears in the index of documents in the enterprise’s file.

- When you stop operating your enterprise or are no longer obliged to register, you must submit a declaration of striking off.
Ex officio striking off
The enterprise registrar strikes off ex officio the registration of any:
- enterprise that has failed to file two consecutive annual updating declarations;
- enterprise that has failed to file a declaration or a notice requested by the enterprise registrar pursuant to s. 73 of the Act respecting the legal publicity of enterprises;
- amalgamated or split-up legal person;
- general or limited partnership that has been dissolved.
- Attention
- The striking off of a legal person incorporated in Québec leads to its dissolution.
A decision to strike off is sent to any enterprise that has been struck off ex officio for failure to file two annual updating declarations. A copy of the decision is filed in the enterprise register and the reference appears in the index of documents in the enterprise’s file.

- The Act respecting the legal publicity of enterprises makes provision for a revocation of striking off procedure for enterprises that have been struck off ex officio for failure to file two consecutive annual updating declarations or a notice requested pursuant to s. 73 of the Act.
