Reregistering an enterprise

What is reregistering?

Reregistration occurs when the enterprise registrar re-enters certain registrants in the enterprise register. Following the discontinuance of business, a general partnership or a legal person constituted outside Québec may reregister in the enterprise register.

The processing of an application for reregistration depends on the type of striking off of a business corporation and the type of enterprise. Below are the steps to follow to request the reregistration of enterprises that ceased operations following a striking off on request or ex officio striking off by the enterprise registrar.

The Québec registrants indicated below that have undergone the ex officio striking off of their registration may not choose reregistration since they are obliged to register solely by virtue of their existence.

Québec legal persons

General partnerships constituted in Québec

  • business corporations (Business Corporations Act);
  • legal persons (Companies Act, Part III);
  • religious corporations (Religious Corporations Act);
  • condominium associations (Civil Code of Québec).
  • general partnerships;
  • general partnerships with limited liability;
  • limited partnerships.

Ex officio striking off by the enterprise registrar

Natural persons, foreign partnerships, undeclared partnerships, foreign legal persons and associations and other groups may submit an application for reregistration to the enterprise registrar. On the other hand, if these corporations were operating during this period, they must submit an application for revocation of striking off.

General partnerships, limited partnerships, Québec legal persons and condominium associations must file an application for revocation of striking off . These corporations keep the Québec enterprise number (NEQ) that they possessed prior to their striking off.

Striking off on request

Natural persons, foreign partnerships, undeclared partnerships, foreign legal persons and associations and other groups may submit an application for reregistration to the enterprise registrar. These enterprises keep the Québec enterprise number (NEQ) that they possessed prior to their striking off.

Condominium associations must submit an application for voluntary striking off since the decision to end the co-ownership is filed in the land register (see a. 1108 of the Civil Code of Québec).
