Last Reminder Regarding the Continuance or Dissolution of Enterprises Governed by Part I of the Companies Act or by the Mining Companies Act
Every enterprise that is still governed by Part I of the Companies Act or by the Mining Companies Act must file, before February 14, 2016, either articles of continuance, in accordance with the Business Corporations Act, or an application for dissolution. Any such enterprise that fails to do so will automatically be dissolved by operation of law, which could result in serious consequences affecting the continuation of the enterprise's activities. For example, all of its bank transactions could be frozen or the enterprise could be required to file an application for revival (fees applicable).
To find out whether a particular enterprise is required to file either articles of continuance or an application for dissolution under the circumstances described above, use the online service Rechercher une entreprise au registre to access the enterprise's État de renseignements, which shows (on the line marked "Régime courant") the law by which the enterprise is currently governed.
Any affected enterprise that is still active and that is registered in the enterprise register must file articles of continuance using our online services. To do so, click Access in the My Office window of our website. You must enter the enterprise’s Québec enterprise number (NEQ) and clicSÉQUR express access code, or your clicSÉQUR – Entreprises user code and password. Under Gestion de l’entreprise, select Services permettant la mise à jour des informations contenues dans le registre, then Produire ou corriger des statuts de continuation d'une personne morale constituée en vertu d'une loi du Québec. You will be required to pay the related fees following transmission.
Note that these fees are lower than the ones associated with an application for revival, which the enterprise would have to file should it not file its articles of continuance on time. Any affected enterprise that is inactive must, after ensuring that it has filed all its declarations, file an application for dissolution using form RE-602, Déclaration d'intention de liquidation ou de dissolution et demande de dissolution(see courtesy translation RE-602-T), which is available under Forms.
