Passage of Bill 87, Act respecting the legal publicity of enterprises

On May 18, 2010, Québec’s National Assembly passed the bill respecting the legal publicity of enterprises. This bill consolidates into a single law the Act respecting the legal publicity of sole proprietorships, partnerships and legal persons and the Act respecting the enterprise registrar.

Under the new Act, formalities for updating the information in the register are simplified: for instance, the period for declaring a change is extended and the information required to be included in various declarations is harmonized.

Rules have been introduced to facilitate the electronic transmission of documents required to be filed with the registrar. The register will also be enhanced to contain more information. For example, the effective date of changes on a business’s board of directors, a declaration of bankruptcy, the filing deadline for the annual update and other information will now be available for consultation. In addition, other measures will be introduced to ensure compliance with the law. Among other things, additional powers will be granted to the registrar to ensure that the names declared by businesses are compliant.

The Act is due to come into force at the end of 2010, at the same time that the registrar will launch new online services, in keeping with the commitment to paperless administration. Almost every service provided by the registrar will be available online. The date the Act officially comes into force will be announced later this year.
